End User License Agreement

1. Agreement

This End User License Agreement ("Agreement") is between you and Baby Bear Analytics ("Company", "we", "us", or "our") regarding your use of Bear Decisions Excel add-in ("Software").

2. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable license to use the Software for your personal or business purposes.

3. User Responsibilities and Restrictions

You agree to:

• Provide accurate and complete information when requested
• Use the Software only for lawful purposes
• Not attempt to gain unauthorized access to our systems
• Not use the Software to transmit harmful or malicious content
• Respect the intellectual property rights of Baby Bear Analytics and others
• Comply with all applicable laws and regulations

You may not:

• Modify, reverse engineer, or create derivative works of the Software
• Distribute, sublicense, or transfer the Software to third parties
• Remove or alter any proprietary notices in the Software

4. Data and Privacy

Your use of the Software is subject to our Privacy Policy.

5. Intellectual Property

The Software and all related intellectual property rights are owned by Baby Bear Analytics. This Agreement does not transfer any ownership rights to you.

6. Service Availability

We strive to provide reliable and consistent service, but we cannot guarantee that the Software will be available at all times. We may experience downtime due to maintenance, updates, or unforeseen circumstances. We reserve the right to modify, suspend, or discontinue any part of the Software at any time.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BABY BEAR ANALYTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SOFTWARE.

9. Indemnification

You agree to indemnify and hold harmless Baby Bear Analytics, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Software or violation of this Agreement.

10. Termination

We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement. Upon termination, your right to use the Software will cease immediately. You may terminate this Agreement at any time by uninstalling the Software.

11. Governing Law

This Agreement shall be interpreted and governed by the laws of the jurisdiction in which Baby Bear Analytics operates, without regard to its conflict of law provisions. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Changes to Agreement

We reserve the right to modify or replace this Agreement at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Continued use of the Software after changes constitutes acceptance of the modified Agreement.
